By accessing and using the PixelWave Solutions website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services

PixelWave Solutions provides UI/UX design, web development, mobile app design, and related digital services. We reserve the right to modify, suspend, or discontinue any service at any time.

3. Project Scope and Deliverables

3.1 Project Definition

All projects begin with a detailed scope of work that outlines:

• Project objectives and deliverables
• Timeline and milestones
• Payment terms and schedule
• Client and contractor responsibilities

3.2 Changes to Scope

Any changes to the agreed project scope must be documented and approved by both parties. Additional work outside the original scope may incur additional charges.

4. Payment Terms

4.1 Payment Schedule

Payment terms are specified in each project agreement. Typical payment structures include:

• 50% deposit before project commencement
• Milestone-based payments during development
• Final payment upon project completion

4.2 Late Payments

Late payments may result in project suspension until payment is received. Interest charges may apply to overdue accounts.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients receive ownership of the final deliverables created specifically for their project, excluding:

• Third-party components and licenses
• Our proprietary development tools and frameworks
• General methodologies and know-how

5.2 Portfolio Rights

PixelWave Solutions reserves the right to display completed projects in our portfolio and marketing materials unless otherwise agreed.

6. Client Responsibilities

Clients are responsible for:

• Providing necessary content, materials, and information
• Timely feedback and approvals
• Ensuring legal rights to all provided materials
• Hosting and domain management (unless contracted separately)

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with professional skill and care. We provide a 30-day warranty on delivered work for bug fixes and minor adjustments.

7.2 Disclaimers

We do not warrant:

• Uninterrupted or error-free operation
• Specific performance metrics or results
• Compatibility with future technology changes
• Security against all potential threats

8. Limitation of Liability

Our liability for any claim related to our services is limited to the total amount paid for the specific project. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Third-party claims or actions
• Events beyond our reasonable control

9. Termination

9.1 Termination by Client

Clients may terminate projects with written notice. Payments for completed work and expenses incurred are non-refundable.

9.2 Termination by PixelWave

We may terminate projects for non-payment, breach of terms, or circumstances that prevent successful completion.

10. Confidentiality

We maintain strict confidentiality regarding client information and project details. This obligation continues beyond project completion.

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.

12. Governing Law

These terms are governed by the laws of Azerbaijan. Any disputes will be resolved through the courts of Baku, Azerbaijan.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date.
